1. Agreement to these terms
These Terms of Service (the “Terms”) are an agreement between you or the organization you represent (“Customer”) and NEMT OS (“NEMT OS,” “we,” “us,” or “our”). The Terms apply to your access to and use of the NEMT OS website, software, applications, APIs, and related services (collectively, the “Services”).
By creating an account, signing an order, or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
NEMT OS provides software to help non-emergency medical transportation providers manage scheduling, dispatch, trip records, GPS visibility, billing workflows, claims, reporting, and related operations. We may improve, modify, or discontinue parts of the Services from time to time. We will use reasonable efforts to provide notice of material changes that adversely affect core functionality.
The Services are operational tools and do not replace your professional judgment, policies, payer requirements, legal obligations, or responsibility for the safety and care of passengers.
3. Accounts and security
You are responsible for providing accurate account information, keeping credentials confidential, and ensuring that each user has an appropriate account. You must promptly notify us at [email protected] if you suspect unauthorized access or a security incident involving the Services.
You are responsible for activity performed through your account and for your users’ compliance with these Terms. We may suspend access when reasonably necessary to protect the Services, users, or data.
4. Your data and privacy
You retain your rights in information and content that you submit to the Services (“Customer Data”). You grant NEMT OS a limited, non-exclusive right to host, process, transmit, and display Customer Data as needed to provide, secure, maintain, and improve the Services and to comply with law.
You are responsible for having the rights, notices, permissions, and consents required to collect and submit Customer Data, including personal information and protected health information. You must configure and use the Services in a manner consistent with your obligations. Additional data protection terms, including any applicable business associate terms, may be established in a separate written agreement.
5. Acceptable use
You may not use the Services to:
- violate any law, regulation, payer requirement, or third-party right;
- access or disclose information without authorization;
- interfere with, disrupt, probe, or place an unreasonable load on the Services;
- introduce malware or attempt to bypass authentication or security controls; or
- copy, resell, lease, sublicense, or make the Services available to unauthorized third parties.
6. Intellectual property
NEMT OS and its licensors own the Services, including the software, interfaces, documentation, designs, trademarks, and other materials made available by us. Subject to these Terms and any applicable order, we grant Customer a limited, non-exclusive, non-transferable right to use the Services during the applicable subscription term.
You may provide suggestions or feedback about the Services. We may use that feedback without restriction or obligation to you.
7. Fees and payment
Fees, subscription periods, usage limits, and payment terms are set out in the applicable order or plan. Unless otherwise stated, fees are billed in advance and are non-refundable except where required by law or expressly agreed in writing. Customer is responsible for applicable taxes, excluding taxes based on NEMT OS’s net income.
8. Third-party services
The Services may connect with third-party products, mapping providers, payment services, payer systems, or other integrations. Your use of those services is governed by their terms and privacy policies. NEMT OS is not responsible for third-party services or for changes, outages, or data received from them.
9. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” NEMT OS disclaims warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Services will satisfy every operational, payer, regulatory, or compliance requirement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data arising out of or related to the Services or these Terms. NEMT OS’s total liability for claims arising out of or related to the Services will not exceed the fees paid or payable by Customer for the Services during the twelve months before the event giving rise to the claim.
These limitations do not apply to liability that cannot be limited under applicable law.
11. Termination
Either party may terminate an applicable subscription as permitted by the relevant order or plan. Either party may terminate these Terms for a material breach that remains uncured after reasonable written notice. We may suspend or terminate access for nonpayment, misuse, or a security risk.
When a subscription ends, your right to use the Services ends. Subject to our retention obligations and applicable law, we will handle Customer Data according to the applicable order or written agreement.
12. General terms
These Terms and any applicable order or written agreement are the entire agreement about the Services and supersede prior discussions on that subject. Customer may not assign these Terms without our prior written consent; NEMT OS may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all assets. If a provision is unenforceable, the remaining provisions will remain in effect. A waiver must be in writing. These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules.
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice. Your continued use of the Services after the effective date of an update constitutes acceptance of the updated Terms.
